Terms of Use

These Terms of Use ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and PYRX Technologies ("Company," "PYRX," "we," "us," or "our") governing your access to and use of the Synapse customer communications platform, including the dashboard at synapse-app.pyrx.tech, the marketing site at crm.pyrx.tech, the API at synapse-api.pyrx.tech, the event ingestion endpoint at synapse-events.pyrx.tech, and all related SDKs, documentation, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

1. Service Description

Synapse is a multi-tenant SaaS customer communications platform. The Service provides event-driven email automation, a proprietary Natural Language Template (NLT) engine for plain-English email templating, audience segmentation, flow orchestration, analytics and reporting, contact management, and related developer tools. The Service is accessed via a web-based dashboard and REST API with optional SDKs.

2. Account Registration and Eligibility

You must be at least 16 years of age to create an account. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

Account registration and authentication are handled through our identity provider. You must provide accurate and complete information during registration and keep your account information current. You are responsible for maintaining the confidentiality of your authentication credentials and for all activities that occur under your account.

Workspaces

Each account operates within one or more workspaces. Workspaces are isolated tenants with separate data, API keys, team members, roles, and billing. You are responsible for managing access to your workspace, inviting and removing members, and the data within it.

Security Responsibilities

You must immediately notify us at [email protected] if you suspect unauthorized access to your account, workspace, or API keys. We are not liable for any loss resulting from unauthorized use of your credentials.

3. Using Our Services

License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription term.

Restrictions

You agree not to:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service
  • Modify, adapt, or create derivative works based on the Service
  • Sublicense, resell, rent, lease, or distribute the Service to any third party without our prior written consent
  • Use the Service to send unsolicited bulk email (spam) or violate any anti-spam law (CAN-SPAM, GDPR, CASL, or equivalent)
  • Use the Service to transmit malware, phishing content, or deceptive communications
  • Attempt to access another tenant's data or circumvent any security controls, including row-level security policies
  • Use the Service in a way that could damage, disable, overburden, or impair our infrastructure
  • Use automated means (bots, scrapers) to access the Service except through our published API with valid credentials
  • Violate any applicable law, regulation, or third-party rights

Compliance

You are responsible for ensuring your use of the Service complies with all applicable laws and regulations, including data protection laws such as GDPR and CCPA. You must obtain all necessary consents from your end users and contacts before processing their data through Synapse.

4. Your Content and Data

Customer Ownership

You retain all right, title, and interest in and to all data you submit to the Service, including contacts, events, templates, email content, and flow configurations ("Customer Data"). We claim no ownership over Customer Data.

License to PYRX

You grant us a limited, non-exclusive, worldwide license to process, store, and transmit Customer Data solely as necessary to provide, maintain, and improve the Service. This license terminates when you delete your data or close your account.

Aggregation Rights

We may collect and use aggregated, anonymized, and de-identified data derived from your use of the Service for analytics, benchmarking, and product improvement purposes. Such data will not identify you or your contacts.

Tenant Isolation

Customer Data is isolated at the database level using PostgreSQL Row-Level Security policies. Each workspace's data is strictly separated and cannot be accessed by other tenants.

5. API and SDK Usage

API Keys

API access requires authentication via API keys issued through the dashboard. API keys follow the format psk_{env}_{hex} and are scoped to specific permission levels (data, reporting, management, full). Keys are confidential credentials — you must not share them publicly, embed them in client-side code, or commit them to version control.

Rate Limits

API usage is subject to rate limits based on your subscription plan:

SDK License

Our SDKs are provided under the MIT License unless otherwise stated in the SDK repository. You may use SDKs solely to integrate with the Service.

6. Email Sending Policies

Anti-Spam

You must comply with all applicable anti-spam laws including CAN-SPAM, GDPR, and CASL. All emails sent through the Service must be to recipients who have given valid consent or with whom you have a legitimate business relationship.

Prohibited Content

Emails sent through the Service must not contain: illegal content, malware or phishing links, deceptive headers or subject lines, content that violates third-party intellectual property rights, or content promoting illegal activities.

Domain Verification

You must verify ownership of all sender domains used with the Service by configuring the required DNS records (SPF, DKIM, DMARC). Sending from unverified domains is not permitted.

Bounce and Complaint Handling

You must monitor bounce rates and spam complaint rates for your workspace. We may throttle or suspend email sending for accounts with consistently high bounce rates (above 5%) or spam complaint rates (above 0.1%). Repeated violations may result in account suspension.

7. Third-Party Services

The Service integrates with the following third-party providers. By using the Service, you acknowledge and agree that your data may be processed by these providers in accordance with their respective terms:

  • PYRX Auth — Identity management, authentication, and session handling. Our authentication service processes your registration information and issues authentication tokens.
  • Lemon Squeezy — Merchant of Record for subscription billing, payment processing, tax calculation, and invoicing. Lemon Squeezy is the seller of record for paid plans.
  • Resend — Email delivery on your behalf. Resend processes recipient email addresses and email content to deliver messages.

We are not responsible for the practices of third-party services. We encourage you to review their privacy policies and terms.

8. Billing and Payments

Merchant of Record

All paid subscriptions are processed by Lemon Squeezy as our Merchant of Record. Lemon Squeezy handles payment processing, tax collection, invoicing, and refunds. By subscribing to a paid plan, you also agree to Lemon Squeezy's terms of service and privacy policy.

Subscription Plans

The Service offers free and paid plans (Starter, Growth, Enterprise) with defined limits on monthly emails, contacts, team members, events, and data retention. Current plans and pricing are available at synapse.pyrx.tech/pricing. Pricing may vary by geography.

Billing Cycle and Renewal

Paid subscriptions are billed monthly or yearly. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. Yearly subscriptions provide a discount equivalent to two months free.

Cancellation

You may cancel your subscription at any time through the dashboard billing settings. Cancellation takes effect at the end of the current billing period — you retain access to paid features until then. No prorated refunds are provided for partial billing periods.

Refunds

Refund requests are handled by Lemon Squeezy in accordance with their refund policy. Contact [email protected] for billing inquiries.

Plan Limits

When you exceed a plan limit (monthly emails, contacts, team members, events, or flows), the affected functionality is paused until the next billing cycle or until you upgrade. We will notify you when you approach or reach your limits.

Taxes

All applicable taxes are calculated and collected by Lemon Squeezy based on your billing address and jurisdiction. Displayed prices may be exclusive of tax where required.

9. Intellectual Property

PYRX Ownership

The Service, including its design, code, architecture, documentation, branding, the NLT template syntax and engine, and all related intellectual property, is owned by PYRX Technologies and protected by applicable intellectual property laws. The NLT (Natural Language Template) syntax, parser, and rendering engine are proprietary to PYRX.

Customer Content

Templates, flows, segments, and configurations you create within the Service are yours. We claim no ownership over Customer Data or content you create using the platform.

Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free, worldwide license to use, modify, and incorporate such feedback without any obligation to you.

10. Confidentiality

Mutual Obligations

Each party agrees to protect the other party's Confidential Information using at least the same degree of care used to protect its own confidential information, and no less than reasonable care. Confidential Information includes, but is not limited to, business plans, customer lists, technical data, and proprietary algorithms.

Exceptions

Confidentiality obligations do not apply to information that:

  • Is or becomes publicly available through no fault of the receiving party
  • Was already known to the receiving party without restriction
  • Is independently developed by the receiving party without use of the disclosing party's Confidential Information
  • Is rightfully received from a third party without restriction

Required Disclosure

Either party may disclose Confidential Information to the extent required by law, regulation, or court order, provided the disclosing party gives reasonable prior notice to the other party where legally permitted.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PYRX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. PYRX DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS OR THAT THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE. YOU USE THE SERVICE AT YOUR OWN RISK.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PYRX TECHNOLOGIES, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

PYRX'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO PYRX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100). THIS LIMITATION APPLIES REGARDLESS OF WHETHER THE CLAIM IS BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.

13. Indemnification

You agree to indemnify, defend, and hold harmless PYRX Technologies and its officers, directors, employees, and agents from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation, including anti-spam laws
  • Content you send through the Service, including emails to your contacts
  • Any data breach resulting from your failure to secure your account credentials or API keys
  • Your violation of any third-party rights, including intellectual property or privacy rights

14. Data Protection

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

Data Processing

With respect to Customer Data containing personal information of your end users, PYRX acts as a data processor on your behalf. You are the data controller. We process such data only as instructed by you through your use of the Service. A Data Processing Addendum (DPA) is available upon request for Enterprise customers.

Tenant Isolation

All Customer Data is isolated at the database level using PostgreSQL Row-Level Security policies. Each workspace's data is cryptographically separated and cannot be accessed by other tenants.

Sub-Processors

We use sub-processors (Lemon Squeezy, Resend, Google Cloud Platform, Sentry) to provide the Service. A current list of sub-processors is maintained in our Privacy Policy and updated with 30 days' advance notice of changes.

15. Modification and Termination

Changes to Terms

We may update these Terms from time to time. We will provide at least 30 days' advance notice of material changes by email to the address associated with your account and by posting a notice on the Service. Your continued use of the Service after the effective date of the revised Terms constitutes acceptance. If you do not agree to the revised Terms, you must stop using the Service before the changes take effect.

Termination by You

You may close your account at any time from the dashboard settings. Cancellation of paid subscriptions is handled through the billing portal.

Termination by PYRX

We may suspend or terminate your account immediately and without prior notice for: material violation of these Terms, non-payment after reasonable notice, sending spam or prohibited content, extended inactivity (12 months or more), or if required by law.

Data Export

Upon termination, you will have a 30-day window to export your Customer Data via the API or dashboard. After this period, your data will be permanently deleted, except where retention is required by law.

16. Governing Law and Disputes

Governing Law

These Terms are governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles.

Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules. The arbitration shall be conducted in English in Singapore. The arbitrator's decision shall be final and binding.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against PYRX.

17. Miscellaneous

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

Entire Agreement

These Terms, together with the Privacy Policy and any applicable DPA, constitute the entire agreement between you and PYRX regarding the Service and supersede all prior agreements and understandings.

Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or successor entity without your consent.

Force Majeure

Neither party shall be liable for failure to perform its obligations due to circumstances beyond its reasonable control, including natural disasters, acts of government, internet disruptions, pandemics, or failures of third-party services.

Notices

Notices to PYRX must be sent to [email protected]. Notices to you will be sent to the email address associated with your account.

Independent Contractors

The relationship between you and PYRX is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.
